Solution and Service Agreement
This Solutions and Service Agreement ("Agreement") is entered into between:

Lintu Investments Oy, Business ID 3 359 228−4, Meri-Rastilan Tie 6 A 8, 980 Helsinki, Finland ("Provider"),
and
[Client Name], a company duly incorporated under the laws of [Country], with registered office at [Insert Address] ("Client").
Together, the"Parties."

1. Relationship to Provider’s Policies
1.1. This Agreement supplements and is subject to the Provider’s Terms & Conditions, End-User License Agreement (EULA), Privacy Policy, Cookie Policy, and Disclaimer (collectively, the "Policies").
1.2. In case of conflict, the Policies prevail. By entering this Agreement, the Client confirms acceptance of the Policies.
1.3. The Client acknowledges that the Provider is not licensed by the Finnish Financial Supervisory Authority (Finanssivalvonta) or any other EU/EEA/UK/US regulator to provide investment, financial, brokerage, or portfolio management services.
2. Scope of Services
2.1. The Provider will supply the Client with research, data analysis, statistical models, forecasts, and informational deliverables.
2.2. Services are provided strictly for educational, research, and informational purposes only. They do not constitute investment, financial, legal, or tax advice, nor do they create a fiduciary relationship.
2.3. Deliverables may include reports, models, dashboards, data outputs, and other materials, subject to the license restrictions under the EULA and Terms & Conditions.
2.4. The Client is solely responsible for all financial, strategic, or business decisions made using the Services or Deliverables.
2.5. The Provider makes no guarantee that Deliverables will achieve any particular business, financial, or operational results.
3. Eligibility and Client Obligations
3.1. The Client confirms that it, and any entity it represents, is not subject to EU, EEA, UK, or US sanctions or trade restrictions.
3.2. Client Data Responsibility: The Client must provide accurate, complete, and lawful information. The Provider is not responsible for inaccurate results caused by false, misleading, or incomplete data supplied by the Client. The Client shall be solely responsible for, and shall indemnify the Provider against, any costs, damages, claims, penalties, or losses (including reasonable legal fees) arising directly or indirectly from the provision of false, misleading, or incomplete data or information.
3.3. The Client must not misuse the Services, including but not limited to:
  • reverse-engineering or redistributing Deliverables;
  • introducing malware or attempting unauthorized access;
  • using the Services in violation of financial market regulations, anti-money laundering laws, or data protection rules.
4. Fees and Payment
4.1. Service fee: EUR [3,500 excluding] VAT, sales, use, or withholding taxes.
4.2. Payment is due within 10 days of invoice. Late payments accrue interest at 0,05% per week.
4.3. The Client shall be responsible for all applicable taxes arising from this Agreement, except for taxes based on the Provider’s net income.
4.4. Refunds and Withdrawal Rights: All fees are non-refundable. As services are digital in nature and delivered immediately, the Client expressly agrees to waive the statutory 14-day withdrawal right under the Finnish Consumer Protection Act and EU Consumer Rights Directive, except where mandatory law applies.
5. Intellectual Property
5.1. Deliverables may be used by the Client for internal business purposes only.
5.2. All intellectual property in software, algorithms, models, and Provider Tools remains the exclusive property of the Provider or its licensors.
5.3. The Client receives a limited, non-exclusive, non-transferable, revocable license to use Deliverables, in line with the Provider’s EULA and Terms & Conditions.
5.4. Feedback or suggestions provided by the Client may be used freely by the Provider without obligation or compensation.
6. Confidentiality and Data Protection
6.1. Confidentiality Obligation: All Deliverables, analyses, reports, models, forecasts, and any other information provided by the Provider ("Confidential Information") are strictly confidential. The Client agrees not to disclose, reproduce, or distribute such information to any third party without the prior written consent of the Provider.
6.2. Duration: Confidentiality obligations survive termination or expiration of this Agreement and remain in force for three (3) years from the date of disclosure.
6.3. Permitted Disclosure: Confidential Information may be disclosed only where required by law, regulation, or court order, and only to the extent strictly necessary. In such cases, the disclosing Party must, where legally permissible, notify the other Party promptly to allow protective measures to be sought.
6.4. Use Restriction: Confidential Information may be used solely for the Client’s internal business purposes and only in connection with this Agreement.
6.5. Data Protection: The Provider processes personal data in accordance with the GDPR, the Finnish Data Protection Act, and its Privacy Policy. Where personal data is transferred outside the EU/EEA, appropriate safeguards will be applied.
7. Limitation of Liability
7.1. The Services and Deliverables are provided "as is" without warranty of accuracy, completeness, merchantability, or fitness for purpose.
7.2. Liability Cap: To the maximum extent permitted by law, the Provider’s aggregate liability for any and all claims arising out of or relating to this Agreement, the Services, or the Deliverables, whether in contract, tort (including negligence), or otherwise, shall not exceed twenty-five percent (25%) of the total fees actually paid by the Client to the Provider under this Agreement.
7.3. The Provider is not liable for indirect, incidental, or consequential damages, including lost profits, trading losses, or reputational harm.
7.4. Nothing in this Agreement excludes liability for gross negligence, willful misconduct, or mandatory consumer rights under Finnish or EU law.
7.5. Data Source Disclaimer: The Services and Deliverables may rely on information, statistics, and data from public, licensed, or third-party sources. The Provider does not guarantee that such data is accurate, complete, current, or error-free. The Client acknowledges that reliance on external sources may involve omissions, inaccuracies, or changes beyond the Provider’s control. The Provider shall have no liability for errors, deficiencies, or decisions made on the basis of incomplete or third-party data.
8. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Provider from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to:
  • misuse of the Services,
  • provision of inaccurate, unlawful, or incomplete information,
  • breach of applicable laws or sanctions, or
  • any third-party claims resulting from the Client’s use of the Services or Deliverables.
9. Compliance and Sanctions
9.1. Each Party warrants it is not subject to EU, EEA, UK, or US sanctions or trade restrictions.
9.2. Neither Party will cause the other to violate sanctions, export control, or trade laws.
10. Term and Termination
10.1. This Agreement begins on [Effective Date] and continues for [X months/years], unless terminated earlier.
10.2. Either Party may terminate for material breach not remedied within 30 days.
10.3. The Provider may suspend or terminate access immediately if the Client breaches the Policies, misuses the Services, or creates regulatory or security risks.
10.4. Either Party may terminate this Agreement for convenience with thirty (30) days' prior written notice.
10.5. Upon termination, accrued payment obligations remain, and access to Deliverables may be revoked in accordance with the Policies.
11. Governing Law and Dispute Resolution
11.1. This Agreement, and any dispute or claim arising out of or in connection with it (including non-contractual disputes), shall be governed by and construed in accordance with the laws of Sweden, without regard to conflict-of-law principles.
11.2. The Parties irrevocably agree that the courts of Stockholm, Sweden shall have exclusive jurisdiction to settle any disputes arising out of or in connection with this Agreement.
11.3. Notwithstanding the above, nothing in this Agreement shall prevent either Party from complying with mandatory EU or national regulatory obligations. For consumer clients, statutory rights under EU and national law remain unaffected.
12. Miscellaneous
12.1. Force Majeure: Neither Party shall be liable for any delay or failure in performing its obligations under this Agreement (except for the Client’s payment obligations) if such delay or failure results from events, circumstances, or causes beyond its reasonable control. These may include, without limitation: natural disasters, pandemics, acts of God, terrorism, armed conflict, labor strikes, civil unrest, government restrictions, sanctions, cyberattacks, power outages, internet or hosting failures, or other events of similar nature.
The affected Party shall promptly notify the other Party of the Force Majeure event, use reasonable efforts to mitigate its impact, and resume performance as soon as possible. If such an event continues for more than 60 days, either Party may terminate this Agreement upon written notice without liability, except for accrued payment obligations.
12.2. Severability: If any provision is invalid, the remaining provisions remain enforceable.
12.3. Assignment: The Provider may assign its rights and obligations; the Client may not assign without prior written consent.
12.4. Entire Agreement and Written Amendments: This Agreement, together with the Policies, constitutes the entire agreement between the Parties with respect to its subject matter. All previous discussions, negotiations, understandings, and agreements of any kind — whether oral, written, electronic (including emails, messages, or calls), or implied — not expressly included in this Agreement or in another written and duly signed agreement between the Parties, shall be deemed null and void upon execution of this Agreement. Any amendments, modifications, or additional agreements shall only be valid if made in written form and signed by authorized representatives of both Parties.
